Statement of Policies for all Address America Affiliates

Ordering online constitutes an understanding and acceptance of the following terms and conditions.

1. I am of legal age in the state in which I enter into this agreement with Address America; it's affiliated companies and parent corporation, (herein collectively known as "the Company".)

2. I understand that as an Affiliate of the Company I have the right to sell products and services offered by the Company. I also understand that the prices charged by the Company might be amended and changed from time to time and that any such amendments and changes will also apply to me.

3. As an Affiliate of the Company I will:

1. Represent the Company in a sincere and honest manner and will honor any of the Company's Guarantees and Warranties.
2. Be professional, courteous and considerate.
3. Become familiar with and utilize the sales and marketing techniques and other materials as prescribed by the Company.

4. I understand that Affiliates are not authorized to, and I will not for any reason, incur any debt, expense or obligation on behalf of or for the company.

5. I understand that Affiliates are not authorized to and I will not for any reason, act as a spokesperson for the Company or its' products in any way to any media or publication without prior consent from Address America.

6. I will not create, publish, or distribute any literature or materials representing the company or its' products and services, other than that which is provided by the Company without prior written approval from the company.

7. This agreement will continue for as long as I continue to accept commissions and bonuses or other payments from the Company or until this agreement is cancelled in writing. The Company shall not cancel this Agreement except upon my violation of this Agreement or the Address America Statement of Policies.

8. I understand that as an Affiliate,

1. I am an independent contractor and not an agent, employee or franchisee of the Company.
2. I further understand that I will not be treated as an employee for Federal or State tax purposes nor for the purposes of the Federal Unemployment Tax Act, the Social Security Act, State Unemployment Acts, State Unemployment Security Acts or state Workers Compensation Acts.
3. I understand and agree to pay all applicable Federal and State self-employment taxes, state taxes, local taxes and/or local license fees that may become due as a result of my activities under this Agreement.

9. I understand that the acceptance of this Agreement

1. does not constitute the sale of a franchise and that there are no exclusive territories granted to anyone, and that no franchise fees have been paid, nor am I acquiring any interest in a security by the acceptance of this Agreement.
2. I understand that the Company makes it's money from the sale of tools, educational materials and supplies that make it possible for me to run my business. I therefore will use only materials that are supplied that I purchase from the Company or upon written approval, materials that meet the strict guidelines set forth by the Company.
3. I understand that the Company has a substantial investment in the development of its marketing materials and it's proprietary methods for marketing its products. I therefore consent to refrain from competing in any way with Address America or using any of it's marketing methods should I decide to terminate this agreement.
4. The Company may, at its' discretion, amend this Statement of Policies. Notification of such changes will be published in the Company's newsletter or sent to all Affiliates. I agree to abide by any and all such amendments.
5. The continuation of my business or my acceptance of commissions or bonuses or other payments from the company constitutes my acceptance of any and all amendments.

11. Address America Affiliates cannot sell, assign or transfer their business without the prior written approval of the Company.

12. I have carefully reviewed this Statement of Policies and acknowledge that they are incorporated as part of this Agreement in their present form and as modified from time to time by the Company.

13. My violation of any of the terms of this Agreement or of the Statement of Policies may result, at the company's discretion, in forfeiture of commission and bonuses or other payments from the Company or cancellation of this Agreement.

14. This Agreement constitutes the entire agreement set forth between the parties and no other promises, representations, guarantees or agreements of any kind shall be valid unless in writing.

15. If any provision herein is held to be invalid, all other provisions shall remain valid and enforceable.

16. The term of this Agreement is one year. This Agreement will be automatically renewed annually on each anniversary date of the acceptance of this Agreement, unless otherwise cancelled.

17. The laws of the State of Mississippi shall govern this Agreement and any claims or disputes between the parties of this Agreement shall be brought in Hinds County district Court, in Jackson, Mississippi or in the U.S. District court for the District of Mississippi.
